>Top 1. Birth of "Executive Officer" system in Japan:

  • In 1997, Sony Corporation adopted the executive officer system for the first time in Japan, then 180 companies among the top listed 2,500 companies followed within two and half years. Furthermore, more than 1,000 companies are observed to follow them in a couple of years.
  • So far there has been no legal descriptions about an executive officer system in Japan, but it will be established as a defacto standard in a way of corporate management.

1. 執行役員制度の誕生:

  • 1997年に、ソニーは日本最初の執行役員制度を導入し、その後2年半の内に、上場企業2,500社の内の上位180社が導入を決めた。さらに2~3年以内には1,000社以上が導入予定である。
  • 今まで日本には、法制度上の執行役員制度はなかったので、この制度は企業経営上デファクト・スタンダードということになる。

>Top 2. Comparison of directors between US and Japan:

  • In US corporations, there is no definite auditor system like Japan, instead the auditor committee is established as a subcommittee of the board of directors, even in the case of NY state it is regulated by SEC. In US it is also usual that majority of directors of the most of big corporations are part-time directors appointed from outside. Such appointment is believed to assure "Corporate Governance" assuming the final responsibility of company management by the board of directors.
  • On the other hand in Japan there is no clear-cut division of the management and corporate organization. Concurrently most of the directors are also executive officers of particular business divisions.
  • The number of the directors in Japan are usually from 20 to 40, while that of US are more or less 10 even in big corporations. (Please refer that Itochu Corporation has 29 directors plus additional 13 non-director executive officers. NTT-East Corporation has 14 directors and no non-director executive officers as of today.)
  • In Japan board of director is regarded as the final goal as an employee of a big corporation from the freshman's day, which is closely related to the sentiment of permanent employment custom in Japan. It is true that status or position often counts for more than particular ability or talent in Japanese corporate tradition.

2. 取締役の日米比較::

  • 米国企業では、日本と異なり、確たる監査役制度がない、その代わりに取締役会の内部委員会として「監査委員会」が設置される。特にNY州で証券管理委員会によって設置が規制されている。また米国では大企業の多数の取締役は外部からの非常勤取締役である。そのような任命自体が取締役会による会社経営の最終責任に関するコーポレートガバナンスを保証するものとなっている。
  • 一方日本では、会社組織と経営との明確な分離はない。多数の取締役は同時に特定営業部門の執行役員を兼ねている。
  • 日本においては、取締役の数は通常20~40名であるのに対し、米国では大企業においてもせいぜい10名前後である。 (因みに、今日現在、伊藤忠商事には取締役が29名、更に取締役でない執行役員が13名いる。NTT東日本会社には14名の取締役がおり、非取締役の執行役員はいない。)
  • 日本の大企業においては、取締役になることは新入社員以来、社員としての最終ゴールと見なされてきており、このことこそが日本の終身雇用制の感覚と密接に関連している。日本の企業の伝統においては特定分野の実力や才能よりむ身分や地位の方が重要であることは否めない。

>Top 3. What is "Executive Officer"?:

  • It is defined that executive officer is a person who is appointed as an executor or performer of the actual business activities in a company. Furthermore an executive officer is appointed by the board of meeting, which means no particular director has discretion of removing an executive officer from the position.
  • Concurrently senior executive officer is usually a director of the board, and the top of executive officers is CEO, which is almost same as president of the company.
  • Function of directors is to establish strategy or basic plan of the company and to watch or supervise the performance, while the executive officers perform every business operations.
  • Which is higher rank a director or an executive officer? They don't differ in ranking, but differ in their function.
  • In US executive officers can be an target of lawsuit from a shareholder, but in Japan they are believed to be exempted from, but this may be cause some controversy.
  • As to the pay level, in US inside directors are not paid, and outside directors are paid minimum. But executive officers are highly paid.
  • There are two types of contracts between an executive director and the company; 1) a contract of employment and 2) a contract of commission. The former guarantees employment, the latter doesn't. The actual contract usually includes in-between clauses of the above.

3. 執行役員とは何か?:

  • 執行役員とは、会社において営業活動の執行者、実行者として指名された人物である。執行役員は取締役会によって指名される。そのことは、どの特定の取締役もある執行役員をその地位から勝手に異動させられない。
  • 上級の執行役員は通常、取締役を兼ねる。執行役員のトップはCEOで、それは通常会社の社長である。
  • 取締役の役割は、会社の戦略は基本方針を立案し、その実施を管理監督することにある。一方、執行役員は日常の業務を遂行する。
  • 取締役と執行役員とどちらが高い地位なのか?彼らは地位に関しては変わらない。変わるのはその機能である。
  • 米国では、執行役員も株主からの訴訟の対象となり得るが、日本ではその対象から除外されると言われているが、まだ議論の余地がある。
  • 給与レベルについては、米国では内部取締役は無給であり、外部取締役でも少額しか支払われない。但し、執行役員は極めて高給である。
  • 執行役員と会社との契約形態には2つあり得る。即ち、1) 雇用契約、または、2) 請負契約である。前者は雇用が保証されるが、後者はそうではない。実際の契約は上記の中間形態の契約となることが多い。

>Top 4. Division Company System:

  • Recent corporate organization tends to clarify profit center function to each business division. The typical case is a system of "Division Company" which will have supposed capital and resources with a view to giving maximum devolution. If an affiliate company is really established, it will be controlled by the commercial and corporation laws. This is a step forward to "Holding Company" system.
  • How to bear cost of the common headquarters is always a controversial issue ; 1) if it is per capita basis, each division tends to retain better staff rejecting proper rotation, or 2) if it is proportional to revenue/profit, each division blurs in pursuing profit. Further report of the performance of each business division is very important for the board to recognize the real market.

4. 分社化制度:

  • 最近の企業組織は、各営業部門に明確なプロフィットセンタ機能を求める傾向になっている。典型的なケースは分社化制度という制度で、各分社には最大限の権限委譲を行う観点から、それぞれがみなしの資本金と資源を持つ。もし子会社が実際に設立されるとなると、商法や会社法の適用を受けることになる。この分社化制度は、持株会社制度への最初の第一歩である。
  • 本社の経費をどのように負担すべきかはいつも議論になる。即ち、1) 所属人数毎の場合は各分社は有能なスタッフを抱えてしまい、適切なローテーションを拒否する傾向がある。2) 売上・利益に比例すると、各分社は利益追求があいまいになる。なお、各営業部門の実施状況の報告は取締役会が実際の市場を理解するのに極めて重要である。

>Top 5. Stance of Shareholders:

  • Shareholders only deal with directors, who are esteemed to act for the benefit of the shareholders. Auditors are esteemed to audit and check directors to act according to due process. If a director sue the company, the auditor will represent the company. If a shareholder sue the director, the auditor also represent the company. In case of a derivative action, both directors and auditors becomes defendants. Generally, it is getting more important to secure corporate governance or compliance with the community as a corporate citizen.

5. 株主の立場:

  • 株主は、取締役は株主の利益を代行すると見なされているが故に、取締役に対してのみ相手をする。監査役は取締役が正規の手続きで遂行しているかどうかを監査する役割である。もしある取締役が会社を訴える場合には監査役が会社を代表することになる。もし株主が取締役を訴える場合にも、監査役は会社を代表する。株主代表訴訟の場合は、取締役と監査役双方が被告となる。一般的にいって、コーポレートガバナンスおよび会社市民としての地域の義務遂行をいかに確保するかが一層重要になってきている。

>Top 6. Function of Board of Directors:

  • There is an analogy between the separation of powers of administration, legislation and judicature, between the organization of the corporation;
    the respective power looks to correspond to the executive directors, the board of meeting, and auditors. In the board of meeting, directors appointed from inside are the specialists of each business sector who can evaluate concrete business policies, while directors from outside have wider experiences and deeper insight who can show strategic viewpoint.
  • In US board of directors usually has following subcommittee;
    1. CEO nomination committee usually headed by outer director,
    2. Directors nomination committee usually headed by CEO, and
    3. Remuneration committee usually usually headed by outer director.
  • Through the activities of such subcommittee, the corporation intends to pursue accountability as much as possible.
  • Japanese corporations appoints several outside advisers as a member of corporate advisory board, intending to use wide outside knowledge and check function of the management, but without established competence such outside advisers could not function well.
  • Board of directors are more required as professional abilities in corporate management which may differ from ordinary business behavior. Modern management requires the general intelligence, sense of global viewpoint, keen perception of rapidly changing environment, performance of agility and ability of communication to cope with tense board and shareholders meetings. These are the main theme of business schools, but in Japan there are few organizations to study about such modern management methodology.

6. 取締役会の機能:

  • 会社組織の権限分割については、行政・立法・司法の三権分立と比較できる。即ち、上記のそれぞれの権限は、執行役員、取締役会、監査役に相当する。取締役会においては、内部から各営業部門で具体的な営業方針を評価できるような専門家を取締役として選出し、一方、外部からはより広い経験と深い洞察力をもって戦略的な視点を示すことができるような人を取締役として選出する。
  • 米国の取締役会には通常以下の小委員会が組織される。
    1. 通常外部取締役を長とするCEO任命委員会
    2. 通常CEOを長とする取締役任命委員会
    3. 通常外務取締役を長とする報酬委員会
  • これらの小委員会の活動を通じて、会社は最大限の説明責任を果たそうとしている。
  • 日本の企業の場合は諮問委員会として外部のアドバイザー数名を指名して、広く外部の知識および経営の機能チェックに活用しようと意図している。但し、外部のアドバイザーでは確立した権限がないので十分機能することは難しい。
  • 取締役会にはますます通常の営業活動とは異なる会社経営のプロフェッショナルな能力が要求されてきている。近代経営は一般的な識見、グローバルな視点のセンス、急激に変化しつつある環境に対する鋭敏な理解力、即決即断、緊張感のある取締役会や株主総会に対応するコミュニケーション能力が求められている。これらばビジネススクールにおける主要テーマであるが、日本ではこのような近代経営の方法論を研究する組織はほとんでないのが実状である。

>Top 7. Japan as no more No.1:

  • Long four decades of stable and growing economics after the postwar since 1955 has changed into completely different phases from 1995. Japanese government, once upheaved as Japan as Number one, declined into enormous financial deficit attaining 120% of GDP. Some of big banks and security firms have bankrupted and are now in the process of restructuring Japanese financial systems. M&A of several major banks amounting $14 billion are also undergoing.
  • And reorganization of central government will scheduled to be done by 2001. Private sector is in a turmoil of tackling three excess of production, human resources and debts.

7. もはやジャパン・アズNo.1にあらず:

  • 戦後1955年以降、40年間にわたる安定成長経済は、1995年を境に、かつてジャパン・アズ・ナンバーワンと言われてきた時代から、GDPの120%に及ぶ巨大な財政赤字を抱え、今なお日本の金融システム立て直しの途中であるなど、完全にそれまでの状況とは異なる様相を呈してきている。また総額1.4兆円にのぼるいくつかの大銀行をまきこんだM&Aが現在進行中である。
  • なお、中央政府の再編成も2001年には実施される予定である。民間分野も生産設備、人的資源、負債の3つの過剰問題を抱えて苦しんでいる状況である。

>Top 8. Tsunami of business environment:

  • Tsunami of business environment is coming; 1) IT revolution, 2) International Accounting Standards (IAS), and 3) setback of Keiretsu system. Such tidal wave will enforces Japanese economy into mega competition, whose key words are "free", "fair" and "global."

8. ビジネス環境の津波現象:

  • ビジネス環境を巡る津波現象が起こっている。即ち、1) IT革命、2) 国際会計基準 (IAS) 、および3) 系列システムの後退である。これらの潮流は日本経済を正にフリー、フェアー、グローバルをキーワードとするメガコンペティションに突入させている。
  • >Top 1) <IT revolution>
    Most of the Japanese feel the impact of IT revolution. PC sales and Internet users are increased drastically last 1999 year, and the stock price related IT industry shows constant uptrend. But limited people recognize the real impact of IT revolution means changing total life style as well as business style in Japan. In other word, it is required to change Japanese unique customs and climate into more accountable and understandable culture from outside.
  • 1) IT革命:
    多くの日本人は、IT革命のインパクトを感じている。PCの販売やインターネットユーザは昨年1999年には飛躍的に増加しし、IT関連産業の株価は堅調な高騰を続けている。しかしながらIT革命が実際には日本におけるビジネスのやり方同様に生活スタイルにもどのようなインパクトがあるのかを認識している人はまだ少数である。換言すれば、日本の独特な習慣や風土はもっと外部から説明可能かつ理解可能なように変えていくことが求められている。
  • Top 2) <International Accounting Standards>
    There are several aspects of International Accounting Standards (IAS), which is called 'Accounting Big Bang' in Japan;
    • "Consolidated financial statements" (from FY 1999), to clarify group companies situation by the integrated financial statements.
    • "Cash flow statements" (from FY 1999), to clarify all cash flow including business, investment and financial activities supplementing P/L and B/S statements. There is a famous slogan; "Cash is reality. Profit is a matter of opinion."
    • "Current cost accounting", to clarify the current value of the company to reflect latent property.
    • "Derivatives reporting" (from FY 2001),to clarify forward , swap and option transactions which have not stated in B/S (=Off balance transactions) to minimize the risk of cash transaction.
    • "Tax effect accounting" (from FY 1999):to clarify the effective tax rate, considering the business tax is regarded as expense in the following fiscal year.
    • "Retirement benefit costs", to clarify total retirement benefit composed of discounted amount of lump-sum and pension.
    • "Research and development costs" as a indication of challenge to changing environment.
  • 2) 国際会計基準:
    国際会計基準 (IAS) に関しては、日本では"会計ビッグバン"と呼ばれており、以下の要素からなっている。
    • 連結決算: (99年度から適用) 連結決算によってグループ会社の状況の情報開示する。
    • キャッシュ・フロー計算書: (99年度から適用) 損益計算書、貸借対照表に加えて営業、投資、財務活動内容によるキャッシュ・フローを開示する。「現金は現実、利益は見解」という有名なスローガンがある。
    • 時価主義会計:含み益を反映させて企業の現在価値を明示する。
    • 税効果会計: (99年度から適用) 事業税は翌期に損金算入されることを考慮した実行税率を開示する。
    • 退職給付会計:一次支給および年金支給の負担額を割引計算によって開示する。
    • 研究開発費用:変化しつつ環境に対する挑戦の指標として。
  • Top 3) <End of Keiretsu style management>
    • Keiretsu' management, which is a unique mutually depending system by group companies in Japan called 'Zaibatsu' or 'Keiretsu') . The group companies have a certain level of mutual shock absorber as a stable shareholder without demanding enough dividend. The main bank and the support from the group companies had been the main concern of the management of a member company. In a constant rising trend of Japanese economy general shareholders expected capital gain of the investment, paying little attention to ROI of the company they invested.
    • Regarding to necessary fund, the main bank of the group prepared for group companies (=indirect finance) , who have no need to raise fund by newly issued stocks or bonds in the financial market (=direct finance).
    • Japanese Keiretsu system continued about 50 years since 1950s, constituting corporate community like a castle town of feudalistic age having hierarchical order composed of affiliate and subcontracted companies. Most of the habitants in the corporate community are totally depended upon such big brothers. Big corporations wanted to do everything within their organization from R&D, retail and most of the habitant services.
    • Any independent movements are regarded as outsiders in the community, who often protested excessive commercialism and unnecessary public works as reflationary measures promoted by the government tied up with related industry.
    • Local residents is demanding more transparent accountability of corporations in case their local factory and facility affect local community. Various types of movement are getting active such as residents' campaign, derivative action, and local referendum. Thus corporations are enforced to be more sensitive to coexistence and acceptance by local residents; philanthropy and mesenat are also important viewpoints.
  • 3) 系列経営の終焉:
    • 系列経営は、日本において「財閥おあるいは系列」と呼ばれるグループ会社による独特な相互依存である。グループ会社は、安定株主として十分な配当を要求することなく一定レベルの相互緩衝装置を持ち合う。主力銀行およびグループ会社の支援が会員企業の最大関心事であった。日本経済の安定成長の時期には一般株主も投資のキャピタルゲインを期待しており、投資した会社の投資利益率にはほとんど無関心であった。
    • 必要な資金に関しては、グループ会社の主力銀行が供給し (=間接金融) 、金融市場において新規の株式や債権の発行による資金調達の必要性 (=直接金融) はなかった。
    • 日本の系列システムは1950年代以降ほぼ50年間継続し、子会社や下請会社からなる階層的な秩序の封建時代のような企業城下町を構成していた。企業城下町の住民はこのような大企業に依存し、第業も研究開発から小売や多くの住民サービスを含め、大企業の組織内ですべてを行うことを当然としていた。
    • その地域において、しばしば過剰な商業主義や行政が関連企業と一緒に推進する不必要な景気対策としての公共工事などに反対するような独立の動きをすることはアウトサイダーとみなされた。
    • 地域住民は企業が地域社会に企業の工場や設備を保有する場合には、より透明な説明責任を求めてきつつある。住民によるキャンペーン、株主代表訴訟、住民投票など積極的な活動など様々な運動が起こりつつある。このように企業としても地域住民との共存や受容に関して、もって敏感にならざるを得なくなってきている。フィランソロピーやメセナといった視点は重要である。
